1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Elite Tech Global, LLC ("Company," "we," "us," or "our") governing your access to and use of The Franchise Architect website (thefranchisearchitect.com) and all associated digital products, including but not limited to the ebook, audiobook, and Franchise Terminal web application (collectively, the "Products" or "Service").

By accessing our website or purchasing our Products, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service.

2. Products and Services

The Franchise Architect bundle includes:

  • The Franchise Architect Guide: A digital book (PDF format) containing educational content about franchise investing and due diligence
  • Audiobook: An audio version of The Franchise Architect Guide
  • Franchise Terminal: A web-based application providing tools for franchise deal analysis, risk assessment, and financial projections

All Products are delivered digitally. Upon purchase, you will receive access credentials and download links via email from our payment processor, Gumroad.

3. License Grant

Upon successful purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and view the ebook for your personal, non-commercial use
  • Listen to the audiobook for your personal, non-commercial use
  • Access and use the Franchise Terminal application for your personal business evaluation purposes

This license does NOT permit you to:

  • Distribute, share, resell, or sublicense the Products to any third party
  • Copy, reproduce, or duplicate the Products except for reasonable personal backup purposes
  • Modify, adapt, or create derivative works based on the Products
  • Remove any copyright, trademark, or other proprietary notices
  • Use the Products to create competing products or services
  • Share your license key with others

4. Purchases and Payment

All purchases are processed through Gumroad, a third-party payment processor. By making a purchase, you agree to Gumroad's Terms of Service and Privacy Policy. We do not store your payment card information.

Prices are listed in US Dollars (USD) and are subject to change without notice. Any price changes will not affect purchases already completed.

5. Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with your purchase for any reason, you may request a full refund within 30 days of your purchase date.

Upon refund, your license to access the Products will be immediately revoked. Continued use of the Products after a refund constitutes a violation of these Terms.

6. Intellectual Property

All content, features, and functionality of the Service—including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software—are the exclusive property of Elite Tech Global, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

"The Franchise Architect," "Franchise Terminal," and associated logos are trademarks of Elite Tech Global, LLC. You may not use these marks without our prior written permission.

The Products are provided for educational and informational purposes only. The content does not constitute and should not be construed as:

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELITE TECH GLOBAL, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCTS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Elite Tech Global, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any investment decisions you make based on the Products

11. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use automated means to access the Service without our permission
  • Impersonate any person or entity

12. Service Availability

We strive to maintain availability of the Franchise Terminal application but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. The ebook and audiobook, once downloaded, remain accessible regardless of service availability.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in the state or federal courts located in Salt Lake County, Utah.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Elite Tech Global, LLC regarding your use of the Service and supersede all prior agreements and understandings.
